These Creator Terms of Service (the "Terms") govern your access to and use of SocialGigs, including our website, creator dashboard, browser extension, APIs, applications, communications, payout systems, referral systems, and related products and services (collectively, the "Services").

By applying to join, registering for, accessing, installing, connecting, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

SocialGigs is offered by Rapidify Labs Inc. ("SocialGigs," "Company," "we," "us," or "our"), a company organized under the laws of Delaware, USA

2. The Services

SocialGigs is a creator platform that enables approved users to participate in eligible LinkedIn-related micro-gigs and related activity-based opportunities. Depending on your profile, eligibility, settings, and available campaigns, the Services may include:

  • profile review and creator approval,
  • gig matching and eligibility scoring,
  • browser extension-based participation,
  • approved automatic or semi-automatic execution flows,
  • optional cloud-assisted or fallback execution,
  • payout tracking and creator ledgers,
  • compliance review and trust/safety systems,
  • referral tracking and commissions,
  • support, communications, analytics, and related creator tooling.

SocialGigs is selective. Not every applicant or profile is accepted, not every approved creator receives the same gigs, and gig availability may change at any time.

2A. Platform Sovereignty

SocialGigs is a proprietary platform operated by Rapidify Labs that provides infrastructure, tooling, and coordination mechanisms for third-party activity.

You acknowledge and agree that:

  • (a) SocialGigs does not control, direct, or guarantee outcomes on any third-party platform, including LinkedIn;
  • (b) all actions taken through the Services are initiated, authorized, or permitted by you;
  • (c) SocialGigs operates solely as an infrastructure layer and does not act as an employer, agent, broker, intermediary, or fiduciary;
  • (d) SocialGigs has no obligation to provide access, continuity, earnings, or opportunities of any kind.

All access to and use of the Services is granted at SocialGigs' sole discretion and may be modified, restricted, or revoked at any time.

3. No Affiliation With LinkedIn

SocialGigs is independent from LinkedIn. SocialGigs is not affiliated with, endorsed by, sponsored by, or approved by LinkedIn or its affiliates. "LinkedIn" and related marks are trademarks of their respective owners.

4. Eligibility

To use the Services, you must:

  • be at least 18 years old, or the age of majority where you live, whichever is higher;
  • have the legal capacity to enter into a binding contract;
  • provide truthful, accurate, and complete information;
  • use only an authentic profile and identity that lawfully belongs to you;
  • not be prohibited from receiving payouts under applicable law;
  • not be located in, ordinarily resident in, or using the Services from a restricted jurisdiction if such use is prohibited by law or our payout, sanctions, compliance, or risk policies.

You may be required to complete identity verification, tax documentation, sanctions screening, or other compliance checks before participating in gigs or receiving payouts.

5. Creator Account; One Account Rule

You may need a creator account to use the Services. You agree to:

  • maintain accurate application, profile, and payout information;
  • keep your account credentials secure;
  • promptly notify us of unauthorized access or suspected misuse;
  • use only your own approved creator account unless we expressly authorize otherwise.

Unless we approve it in writing, you may not create or operate multiple creator accounts, shared accounts, duplicate accounts, proxy accounts, or accounts on behalf of another individual.

We may suspend, merge, reject, or terminate duplicate, linked, or suspicious accounts.

6. Creator Approval; Selective Access

Applying does not guarantee approval. Approval does not guarantee ongoing access. Access to gigs may depend on factors including:

  • profile quality,
  • account age,
  • authenticity signals,
  • activity levels,
  • region,
  • client fit,
  • extension health,
  • platform risk,
  • compliance history,
  • payout/KYC status,
  • and campaign availability.

We may, at our sole and absolute discretion, for any or no reason, with or without notice approve, deny, pause, limit, or revoke access to any creator, gig category, profile, or account at any time.

7. Nature of Participation; No Employment Relationship

Your participation in SocialGigs is voluntary. You are an independent user of the platform, not our employee, worker, agent, partner, franchisee, broker, or representative.

Nothing in these Terms creates:

  • an employment relationship,
  • entitlement to wages, salary, overtime, benefits, insurance, paid leave, severance, or reimbursement,
  • any joint venture, partnership, or agency relationship.

You are solely responsible for your own taxes, reporting obligations, business registrations, social contributions, and legal compliance related to any payouts you receive.

8. LinkedIn and Other Third-Party Platform Risk

You understand and agree that:

  • your use of SocialGigs may involve interaction with LinkedIn and other third-party services;
  • third-party platforms may change their rules, technical systems, access methods, rates, enforcement, or compatibility at any time;
  • third-party platforms may investigate, warn, limit, suspend, challenge, throttle, or terminate your account or access;
  • SocialGigs does not control any third-party platform and does not promise that your use of the Services will comply with every platform rule in every situation;
  • you assume all risk arising from your use of LinkedIn or any third-party platform in connection with the Services.

To the maximum extent permitted by law, SocialGigs is not responsible for:

  • account warnings,
  • account restrictions,
  • reduced visibility,
  • algorithmic downranking,
  • feature loss,
  • messaging limits,
  • CAPTCHA or verification checks,
  • bans, suspensions, or permanent account loss,
  • or other actions taken by LinkedIn or any third party.

You expressly acknowledge that certain activities facilitated by the Services may not comply with the terms, policies, or guidelines of third-party platforms, and you assume all risks arising from such activity, including account warnings, restrictions, suspensions, or termination.

9. Extension Access; Session-Based Operation

Some features may require our browser extension, background execution tools, or related technical components. You authorize SocialGigs to access, process, and use relevant browser, session, profile, task, and activity data as reasonably necessary to provide the Services you enable.

You acknowledge that:

  • the Services may rely on your existing authenticated LinkedIn browser session;
  • the Services may use extension-based, local, remote, or cloud-assisted processes to carry out enabled tasks;
  • technical failures, browser changes, LinkedIn changes, network issues, session expiry, security checks, or third-party changes may interrupt the Services at any time.

You are responsible for maintaining a supported browser, compatible environment, and required permissions.

10. Full Auto Mode and Manual Approval Mode

SocialGigs may offer different participation modes, including "full auto," "manual approval," or similar settings.

If you enable full auto mode, you authorize SocialGigs to carry out eligible, approved, configured, or pre-authorized task flows without requiring separate confirmation for every action.

If you choose manual approval mode, you acknowledge that:

  • fewer gigs may be available,
  • fulfillment speed may decrease,
  • and your earnings opportunities may be reduced.

You remain responsible for the settings you enable and the decisions you make in the Services.

11. Gigs; Estimates; No Guaranteed Earnings

SocialGigs may display estimated earning ranges, profile strength, expected eligibility, likely gig categories, or similar projections. These are informational estimates only.

We do not guarantee:

  • approval,
  • gig volume,
  • access to any particular gig type,
  • creator status,
  • verified status,
  • monthly earning ranges,
  • payout timing beyond the general schedules we publish,
  • or any minimum or expected income.

Actual results depend on many factors, including profile quality, availability, campaign demand, compliance outcomes, successful completion, reversals, and ongoing platform health.

You acknowledge and agree that you have not relied on any representations, warranties, projections, estimates, or statements other than those expressly set forth in these Terms in deciding to use the Services.

12. Your Responsibilities

You are solely responsible for:

  • your LinkedIn account and other third-party accounts,
  • the legality and appropriateness of your participation,
  • your profile accuracy and authenticity,
  • compliance with these Terms and all applicable laws,
  • compliance with third-party platform rules,
  • reviewing your participation settings,
  • maintaining control over your browser, session, and devices,
  • and stopping use of the Services if you no longer accept the risks.

13. Acceptable Use

You agree not to, and not to assist or encourage others to:

  • violate any law, regulation, sanctions regime, or third-party right;
  • use fake, misleading, borrowed, stolen, synthetic, impersonation, or duplicate identities;
  • engage in spam, scams, phishing, harassment, intimidation, stalking, deception, or unlawful solicitation;
  • spread harmful, defamatory, deceptive, hateful, discriminatory, sexually explicit, violent, or illegal content;
  • manipulate metrics through fraud, collusion, rings, click farms, or synthetic activity;
  • interfere with, reverse, undo, delete, edit, or invalidate completed gig actions where such conduct affects payout integrity;
  • circumvent security, rate limits, monitoring, payout controls, or trust/safety systems;
  • scrape, export, harvest, or extract data except as expressly permitted by us;
  • use the Services to violate the rights, policies, or intellectual property of any person or platform;
  • upload malware, attempt unauthorized access, probe our systems, or disrupt the Services;
  • resell, sublicense, lease, or commercially exploit the Services without our written consent.

Without limiting the foregoing, you may not engage in any activity that, in SocialGigs' sole determination, is intended to exploit, game, manipulate, or arbitrage platform mechanics, payout systems, referral structures, or campaign logic.

SocialGigs reserves the right to invalidate, adjust, or refuse any activity or payout that results in disproportionate, unintended, or artificially generated outcomes.

14. Endorsements, Reviews, and Disclosure Obligations

Some gigs may involve content interactions, engagement, recommendations, references, or promotional activity that may be treated as endorsements, testimonials, or marketing activity under applicable law.

You agree that:

  • any statements, reactions, or endorsements you make must be honest and not misleading;
  • you will make legally required disclosures of any material connection where required by law, policy, task instructions, or platform norms;
  • you will follow any disclosure instructions we provide for a given gig;
  • you will not make factual claims that you do not believe to be true or cannot lawfully make.

We may suspend, void, or claw back earnings where disclosure obligations are not met.

15. Content and User Materials

You retain ownership of the content and materials you own and lawfully provide to the Services. You grant SocialGigs a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, copy, process, display, transmit, analyze, and otherwise use your submitted materials, profile information, task outputs, communications, and related data as reasonably necessary to:

  • operate and improve the Services,
  • match and administer gigs,
  • verify completion,
  • prevent fraud,
  • process payouts,
  • enforce these Terms,
  • and comply with law.

You represent that you have all rights needed for any information or content you submit or authorize us to process.

16. Payouts; Reviews; Holds

Earnings may move through statuses such as pending, under review, approved, scheduled, and paid. A task is not final, owed, or payable merely because it appears in your dashboard or was initially logged.

SocialGigs may review, delay, adjust, withhold, reverse, or deny earnings for reasons including:

  • incomplete or invalid task completion,
  • interruptions or reversals,
  • low-quality or non-compliant execution,
  • suspicious or fraudulent activity,
  • creator misconduct,
  • duplicate or linked accounts,
  • KYC or tax failures,
  • payout method issues,
  • sanctions or legal compliance,
  • disputes raised by clients or partners,
  • platform restrictions,
  • system or measurement errors,
  • or any breach of these Terms.

We may, at our sole and absolute discretion, for any or no reason, with or without notice, place earnings "at risk" or on hold during investigation.

17. Payout Schedule and Methods

Unless otherwise stated in the Services, approved payouts are generally processed on a net 30 basis following completion of the applicable review cycle.

SocialGigs is not a bank, financial institution, payment processor, or escrow provider and does not hold funds on your behalf.

Supported payout methods may include methods such as Wise, PayPal, UPI, bank transfer, or others we designate from time to time. Availability may vary by region, currency, risk profile, and provider rules.

You are responsible for:

  • providing accurate payout information,
  • keeping payout details up to date,
  • any intermediary bank charges, currency conversion fees, tax reporting obligations, or provider charges not expressly absorbed by us,
  • and any delays caused by your payout provider or incorrect information.

We may set or change payout minimums, reserve policies, verification requirements, and supported methods at any time.

18. Reversals, Clawbacks, Offsets, and Forfeiture

SocialGigs may reverse, claw back, or offset previously credited amounts where:

  • the underlying gig is later found to be invalid,
  • required activity is reversed, removed, withdrawn, blocked, or invalidated,
  • the task breaches law, these Terms, gig rules, or partner requirements,
  • the activity is fraudulent, duplicated, manipulated, or otherwise ineligible,
  • a partner/client refuses, reverses, or disputes the associated value event,
  • or there was a payment, ledger, attribution, or calculation error.

A completed cycle may remain subject to a reversal-detection window, including a period of up to 60 days or such other period as we specify.

If you owe us any amount, we may deduct it from future payouts, suspend your account, or pursue lawful recovery.

19. Verified Status and Bonuses

Any "verified," "premium," "enhanced," or bonus rate status is discretionary unless otherwise stated in writing. We may grant, review, suspend, or revoke such status at any time based on quality, compliance, KYC, campaign fit, or risk.

20. Referral Program

If SocialGigs offers a referral program, referral commissions are earned only as described in the Services. Unless otherwise specified in writing:

  • referral commissions are calculated only on qualifying payouts actually paid out to the referred creator,
  • referral commissions may be limited to a stated period, such as the first six months after the referred creator becomes eligible,
  • no commission is owed on reversed, refunded, fraudulent, disputed, forfeited, held, or unpaid earnings,
  • self-referrals, duplicate accounts, linked accounts, or fraudulent referrals are prohibited,
  • we may audit and void referrals at any time.

Referral programs are promotional and may be modified, suspended, or ended at any time.

21. Compliance Monitoring and Investigations

We may monitor participation, extension health, account integrity, payout behavior, referral patterns, device signals, browser/session consistency, and related trust/safety indicators to protect the platform and enforce these Terms.

You agree to cooperate with reasonable compliance requests, including identity checks, payout verification, tax documentation, and supporting evidence for disputed gigs.

Failure to cooperate may result in suspension, payout holds, or termination.

22. Intellectual Property

The Services, including software, interfaces, branding, designs, workflows, data models, dashboards, systems, and related content, are owned by or licensed to SocialGigs and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services solely for your personal or internal business use in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works of, or otherwise exploit the Services except as expressly allowed by law or by us in writing.

23. Feedback

If you send us suggestions, feedback, ideas, or product requests, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use them without restriction or compensation.

24. Third-Party Services

The Services may rely on third-party services such as browsers, hosting providers, analytics services, payment processors, payout providers, compliance vendors, AI providers, infrastructure vendors, and LinkedIn itself.

We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy notices.

SocialGigs shall have no responsibility or liability for any third-party content, campaign materials, or user-generated activity, including any alleged infringement of intellectual property rights, publicity rights, or other proprietary rights arising from such materials or activities.

25. Service Changes; Beta Features; Availability

We may add, remove, modify, suspend, or discontinue any feature, gig type, payout mechanic, referral program, eligibility rule, or part of the Services at any time.

Some features may be beta, preview, experimental, or limited. They may be incomplete, unstable, inaccurate, or withdrawn at any time.

The Services are provided on an "as available" basis. We do not guarantee uptime, uninterrupted operation, error-free performance, compatibility, or continued access to any third-party platform.

26. Suspension and Termination

You may stop using the Services at any time.

We may, at our sole and absolute discretion, for any or no reason, with or without notice, suspend, restrict, hold, or terminate your access immediately if:

  • you violate these Terms,
  • your use creates legal, platform, fraud, reputational, or operational risk,
  • you fail verification or compliance checks,
  • required by law or third-party request,
  • or necessary to prevent abuse, harm, or security issues.

Upon termination:

  • your right to use the Services ends immediately,
  • pending investigations may continue,
  • unpaid or at-risk earnings may be withheld pending review,
  • and provisions that should survive will survive, including payment, IP, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions.

Without limitation, the following provisions shall survive termination: Sections relating to payments, reversals, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, compliance obligations, and any other provisions that by their nature should survive.

27. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator in New Castle County, Delaware, unless otherwise required by applicable law. Judgment on the award may be entered in any court having jurisdiction.

You and SocialGigs agree that all claims shall be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You expressly waive any right to participate in a class action, class arbitration, or representative action.

Notwithstanding the foregoing, SocialGigs may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or platform integrity.

28. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SOCIALGIGS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR SYSTEM INTEGRATION.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE SAFE FOR YOUR LINKEDIN ACCOUNT OR ANY THIRD-PARTY ACCOUNT,
  • ANY USE OF THE SERVICES WILL COMPLY WITH LINKEDIN OR ANY THIRD-PARTY PLATFORM POLICY,
  • YOU WILL RECEIVE ANY MINIMUM NUMBER OF GIGS,
  • ANY EARNING ESTIMATE WILL BE ACHIEVED,
  • ANY PAYOUT WILL BE APPROVED OR PAID,
  • ANY FEATURE WILL CONTINUE TO WORK,
  • OR THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALGIGS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, ACCOUNT ACCESS, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO THE SERVICES.

WITHOUT LIMITING THE FOREGOING, SOCIALGIGS WILL NOT BE LIABLE FOR ANY ACCOUNT WARNING, RESTRICTION, SUSPENSION, THROTTLING, CONTENT REMOVAL, LOSS OF REACH, OR OTHER ACTION TAKEN BY LINKEDIN OR ANY THIRD PARTY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED:

  • THE AMOUNT PAID TO YOU IN THE 30 DAYS PRECEDING THE CLAIM OR
  • USD $100, WHICHEVER IS GREATER.

FOR CLARITY, THIS LIMITATION DOES NOT ELIMINATE OUR OBLIGATION TO PAY ANY FINAL, APPROVED, UNDISPUTED EARNINGS THAT HAVE BECOME DUE UNDER THESE TERMS.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

30. Indemnification

You agree to defend, indemnify, and hold harmless SocialGigs and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Services,
  • your LinkedIn or third-party platform activity,
  • your violation of these Terms,
  • your violation of law or third-party rights,
  • your content, conduct, disclosures, endorsements, or gig participation,
  • or your fraud, negligence, or misconduct.

You acknowledge that any breach of these Terms may cause irreparable harm to SocialGigs for which monetary damages would be inadequate, and that SocialGigs shall be entitled to seek injunctive or equitable relief, without the requirement to post bond, in addition to any other remedies available at law or in equity.

31. Privacy

Your use of the Services is also governed by our Privacy Policy.

32. Changes to These Terms

We may update these Terms from time to time. We will post the updated version and update the "Last updated" date. If changes are material, we may provide additional notice through the Services or by email.

Your continued use of the Services after the effective date of the updated Terms means you accept them.

33. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Except where prohibited by law, any dispute arising from or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction and venue there.

34. Miscellaneous

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, form the entire agreement between you and SocialGigs regarding the Services.

If any provision is held unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision is not a waiver.

You may not assign or transfer these Terms without our prior written consent. SocialGigs may assign, transfer, or delegate these Terms without restriction, including to affiliates or in connection with a merger, acquisition, reorganization, or sale of assets.

35. Force Majeure

SocialGigs shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, changes in third-party platform policies or systems, regulatory actions, network failures, labor disputes, cyber incidents, or failures of service providers.

36. Export Control and Sanctions

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and that you are not on any government restricted or denied party list.

You agree not to use the Services in violation of any applicable export control, sanctions, or trade compliance laws.
